Terms of Service

1. Scope

These Terms of Service apply to all contracts between AdSimple® GmbH (hereinafter "Provider") and the user (hereinafter "Customer") regarding the use of the SaaS platform "geembee" for creating and managing Google Business Profile posts.

2. Subject Matter

The Provider offers the Customer cloud-based software (SaaS) with the following features:

  • Connection to Google Business Profile accounts
  • AI-powered post creation
  • Scheduling and automatic publishing of posts
  • Multi-location management
  • AI image generation
  • Operational dashboards for posts, reviews, hours, menus, and analytics

3. Plans and Pricing

3.1 Free Plan

  • 1 business location
  • 5 AI-generated posts per month
  • Basic post scheduling
  • Google Business Profile publishing
  • Community support

3.2 Starter Plan – €19/month

  • Up to 5 business locations
  • Up to 50 AI-generated posts per month
  • Basic analytics

3.3 Professional Plan – €49/month

  • Up to 25 business locations
  • Up to 250 AI-generated posts per month
  • AI image generation
  • Editorial calendar and media library
  • Advanced analytics

3.4 Business Plan – €99/month

  • Up to 100 business locations
  • Up to 1000 AI-generated posts per month
  • All Professional features
  • Team collaboration
  • Priority support

3.5 Enterprise Plan – €299/month

  • Unlimited locations
  • Unlimited AI-generated posts
  • Dedicated support
  • Custom integrations
  • SLA coverage

All prices are exclusive of applicable VAT. The Provider reserves the right to adjust prices with at least 30 days notice to the Customer.

4. Trial Periods

Any trial periods depend on the Stripe price shown at checkout. Whether a trial is offered and how long it lasts is displayed transparently before the subscription is completed. After an offered trial period ends, the subscription automatically becomes paid unless the Customer cancels beforehand.

5. Contract Formation and Duration

The contract is established upon registration and selection of a plan. The minimum contract term is one month. The contract automatically renews for another month unless terminated with 7 days notice before the end of the month.

6. Payment Terms

Payment is due monthly in advance by credit card or other payment methods supported by Stripe. In case of payment default, the Provider is entitled to suspend access to the platform.

7. Usage Rights

The Provider grants the Customer a non-exclusive, non-transferable right to use the platform according to the selected plan for the duration of the contract. Content created by the Customer remains the Customer's property. For AI-generated content, the Customer receives a non-exclusive, perpetual usage right.

8. Customer Obligations

The Customer agrees to:

  • Access the platform only through legitimately owned Google accounts
  • Not publish illegal or misleading content
  • Not violate third-party rights
  • Keep access credentials secure
  • Immediately inform the Provider of any misuse

9. Availability and Support

The Provider aims for 99% platform availability annually. Planned maintenance will be announced when possible. Support scope depends on the selected plan.

10. Liability

The Provider is liable without limitation only for intent and gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations, limited to typical, foreseeable damages. Liability for indirect damages, lost profits, or data loss is excluded to the extent permitted by law.

The Provider is not liable for disruptions or limitations of Google APIs, which are outside the Provider's control.

11. Data Protection

Personal data is processed according to our Privacy Policy. The Customer consents to data processing for contract fulfillment.

12. Termination

Termination can be made at any time via the dashboard or by email. Upon contract termination, access to the platform is suspended. The Customer can export their data up to 30 days after contract end.

13. Changes to Terms

The Provider reserves the right to modify these terms. Changes will be communicated to the Customer at least 30 days before taking effect. If the Customer does not object within 14 days, the changes are deemed accepted.

14. Final Provisions

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Gänserndorf, Austria. If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
